CeCILL License 2.1

لایسنس CeCILL 2.1 یک لایسنس copyleft است که توسط CEA (Commissariat à l'énergie atomique et aux énergies alternatives) فرانسه ایجاد شده است. این لایسنس برای پروژه‌های نرم‌افزاری فرانسوی طراحی شده و مشابه GPL عمل می‌کند.

CeCILL FREE SOFTWARE LICENSE AGREEMENT

Notice

This Agreement is a Free Software license agreement that is the result of discussions between its authors in order to ensure compliance with the two main principles governing its use of the CeCILL software license:

1) compliance with the laws governing the use of the software, and
2) respect for the rights of the software authors.

This Agreement is governed by French law. Any dispute relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Paris, France.

Article 1 - DEFINITIONS

For the purpose of this Agreement, when the following expressions commence with a capital letter, they shall have the following meaning:

Agreement: means this license agreement, and its possible subsequent versions and annexes.

Software: means the software in its Object Code and/or Source Code form and, where applicable, its documentation, "as is" when distributed by the Licensor.

Initial Software: means the Software in its Source Code and possibly its Object Code form and, where applicable, its documentation, "as is" when first distributed under the terms and conditions of the Agreement.

Modified Software: means any Software derived from the Initial Software in accordance with the terms and conditions of the Agreement.

Distributor: means any natural or legal person that distributes the Software under the Agreement.

Contributor: means any natural or legal person that distributes the Software under the Agreement and/or contributes to the creation of Modified Software.

Licensor: means the natural or legal person that distributes the Software under the Agreement.

Object Code: means any non-Source form of the Software.

Source Code: means the human readable form of the Software and its documentation and any associated interface definition file.

Derivative Work: means any work (including programs, applications, procedures, functions, schemas, scripts, macros, modules, software, or any other form of executable code) that, in whole or in part, contains, incorporates, is based on, is derived from, or is designed to execute upon the Software or any portion thereof.

Article 2 - PURPOSE

The purpose of this Agreement is the grant by the Licensor to the Distributor of a non-exclusive, transferable and worldwide license for the Software as set forth in Article 5 hereinafter for the whole term of the protection of the rights over the Software.

Article 3 - ACCEPTANCE

3.1 The Distributor shall be deemed to have accepted the terms and conditions of this Agreement upon the occurrence of the first of the following events:

(a) signing this Agreement, and
(b) exercising the rights granted hereunder.

3.2 The Distributor may accept the terms and conditions of this Agreement by signing this Agreement. The signature can be done electronically. In such case, the Distributor shall send by email the signed Agreement to the Licensor who will counter-sign it and send it back to the Distributor.

Article 4 - CONSIDERATION

The Licensor hereby grants to the Distributor, in consideration of the mutual covenants contained herein, a non-exclusive, transferable and worldwide license for the Software as set forth in Article 5 hereinafter for the whole term of the protection of the rights over the Software.

Article 5 - SCOPE OF THE RIGHTS GRANTED

The Licensor hereby grants to the Distributor a non-exclusive, transferable and worldwide license for the Software, with the right to:

5.1 use the Software, without any limitation as to the fields of application, with the exception of the fields of application forbidden by Article 6.5;

5.2 modify the Software;

5.3 distribute the Software in Object Code form;

5.4 distribute the Software in Source Code form;

5.5 distribute Modified Software in Object Code form;

5.6 distribute Modified Software in Source Code form;

5.7 distribute the Software and/or Modified Software under a license other than this Agreement, provided that the Distributor complies with the provisions of Article 6.4;

5.8 distribute the Software and/or Modified Software in any form.

Article 6 - CONDITIONS

6.1 The Distributor shall undertake to:

(a) preserve the copyright notice and the following text: "This software is governed by the CeCILL license under French law and abiding by the rules of distribution of free software. You can use, modify and/ or redistribute the software under the terms of the CeCILL license as circulated by CEA, CNRS and INRIA at the following URL "http://www.cecill.info".";

(b) preserve the complete text of this Agreement in the Software;

(c) indicate if the Software has been modified;

(d) preserve the complete text of this Agreement in any Modified Software.

6.2 The Distributor shall undertake not to:

(a) distribute the Software under a license other than this Agreement;

(b) distribute Modified Software under a license other than this Agreement;

(c) distribute the Software and/or Modified Software in any form that does not comply with the provisions of Article 6.1.

6.3 The Distributor shall undertake to:

(a) make the Source Code of the Software available to anyone who requests it;

(b) make the Source Code of any Modified Software available to anyone who requests it;

(c) provide the Source Code of the Software and/or Modified Software in a form that is (i) suitable for compilation and (ii) includes all information necessary to compile the Software and/or Modified Software.

6.4 The Distributor may distribute the Software and/or Modified Software under a license other than this Agreement, provided that:

(a) the Distributor complies with the provisions of Article 6.1;

(b) the Distributor provides the Source Code of the Software and/or Modified Software in accordance with the provisions of Article 6.3;

(c) the Distributor ensures that the license under which the Software and/or Modified Software is distributed is compatible with this Agreement.

6.5 The Distributor shall not use the Software in any field of application that is forbidden by the Licensor. The forbidden fields of application are set forth in Schedule 1 hereto.

Article 7 - MODIFICATIONS

7.1 The Distributor may modify the Software, provided that the Distributor complies with the provisions of Article 6.

7.2 The Distributor may distribute Modified Software, provided that the Distributor complies with the provisions of Article 6.

7.3 The Distributor may not modify the Software in any way that would make it non-compliant with this Agreement.

Article 8 - DISTRIBUTION

8.1 The Distributor may distribute the Software and/or Modified Software, provided that the Distributor complies with the provisions of Article 6.

8.2 The Distributor may distribute the Software and/or Modified Software in any form, provided that the Distributor complies with the provisions of Article 6.

8.3 The Distributor may not distribute the Software and/or Modified Software in any form that does not comply with the provisions of Article 6.

Article 9 - PATENTS

9.1 The Licensor hereby grants to the Distributor a non-exclusive, transferable and worldwide license under any patent claims licensable by the Licensor that are necessarily infringed by the Software or by the combination of the Software with other software or hardware.

9.2 The Distributor hereby grants to the Licensor a non-exclusive, transferable and worldwide license under any patent claims licensable by the Distributor that are necessarily infringed by the Modified Software or by the combination of the Modified Software with other software or hardware.

Article 10 - TERMINATION

10.1 This Agreement shall terminate automatically if the Distributor fails to comply with any of the terms and conditions of this Agreement.

10.2 Upon termination of this Agreement, the Distributor shall cease all use of the Software and shall destroy all copies of the Software in the Distributor's possession.

Article 11 - DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

Article 12 - LIMITATION OF LIABILITY

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Article 13 - GOVERNING LAW

This Agreement is governed by French law. Any dispute relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Paris, France.

Article 14 - ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter.

Schedule 1 - FORBIDDEN FIELDS OF APPLICATION

The following fields of application are forbidden:

1. Military applications
2. Nuclear applications
3. Applications that may cause harm to human life or health
4. Applications that may cause harm to the environment
5. Applications that may cause harm to public safety
6. Applications that may cause harm to national security
7. Applications that may cause harm to economic security
8. Applications that may cause harm to social security
9. Applications that may cause harm to cultural security
10. Applications that may cause harm to scientific security
